Vendor Listing Agreement

This Vendor Listing Agreement ("Agreement") is entered into between Elope Atlas, LLC ("Elope Atlas," "we," "us") and the individual or business entity submitting a vendor application ("Vendor," "you"). By checking the agreement box and typing your name during the application process, you acknowledge that you have read, understood, and agree to be bound by all terms of this Agreement.

1. Listing Services

Upon approval of your application and (after the free period) completion of payment, Elope Atlas will create and maintain a vendor profile for your business on the Elope Atlas platform. Your profile will appear on the location pages corresponding to the parks, regions, and locations you identified in your application.

Elope Atlas provides a discovery and connection platform only. We do not act as your agent, employer, or representative. We do not guarantee any minimum number of inquiries, bookings, or revenue from your listing.

You are solely responsible for the accuracy of your profile information, the quality of your services, and all communications with couples who contact you through the platform.

2. Founding Member Period and Fees

Free Period. Founding Members receive a complimentary listing for the first six (6) months following the official public launch of Elope Atlas on May 1, 2026 (the "Free Period"). The free period runs from May 1, 2026 through October 31, 2026.

Founding Member Rate. After the Free Period, Founding Members will be billed at the rate of $150.00 USD per year, locked for the lifetime of your active listing. This rate will not increase as long as your subscription remains active and in good standing.

Standard Rate. Vendors who apply after the Founding Member window closes will be subject to the then-current standard rate (currently $299.00 USD per year).

Auto-Renewal. Subscriptions renew automatically on an annual basis. You will receive a renewal notice by email at least 30 days before your renewal date. You may cancel at any time before the renewal date to avoid being charged for the next period.

No Commission. Elope Atlas charges a flat annual listing fee only. We do not charge commissions, booking fees, or referral fees on any transactions between you and couples you meet through the platform. Ever.

3. Cancellation and Refunds

You may cancel your listing subscription at any time by contacting us at [email protected]. Upon cancellation, your listing will remain active until the end of the current paid period. No partial refunds are issued for unused time within a billing period.

Elope Atlas reserves the right to terminate a listing at any time for violation of this Agreement. In the event of termination by Elope Atlas for cause, no refund will be issued. In the event of termination by Elope Atlas without cause, a pro-rated refund for the unused portion of the current billing period will be provided.

4. Vendor Responsibilities and Accuracy

You represent and warrant that:

• 01All information provided in your application and profile is accurate, current, and not misleading.
• 02You have genuine, first-hand experience working at or in the locations and regions you have selected. You will not claim expertise at locations you have not personally worked.
• 03You hold all required licenses, permits, and insurance to operate as a vendor in the locations you list.
• 04You will respond to couple inquiries in a timely and professional manner.
• 05You will promptly update your profile to reflect changes in availability, service areas, or business information.
• 06You will not use the Elope Atlas platform to promote services unrelated to elopement or intimate wedding planning.

5. Non-Compete and Non-Solicitation

Platform Non-Compete. During the term of this Agreement and for a period of twelve (12) months following termination, you agree not to develop, launch, operate, or materially contribute to any platform, directory, or service that is substantially similar to Elope Atlas — specifically, a location-first elopement planning platform that organizes vendor discovery around specific parks, public lands, or geographic locations rather than vendor aesthetics or style categories.

This clause does not prohibit you from maintaining your own website, social media presence, or listing on general vendor directories (e.g., The Knot, Zola, Style Me Pretty). It applies specifically to the creation of a competing location-indexed elopement planning platform.

Non-Solicitation. You agree not to solicit other Elope Atlas vendors or couples to join or use a competing platform during the term of this Agreement and for twelve (12) months following termination.

6. Confidentiality of Platform Tools and Planning Materials

Elope Atlas provides vendors with access to certain planning tools, location data, permit guides, couple planning documents, and platform features ("Platform Materials") as part of the vendor experience.

You agree that:

• 01Platform Materials are proprietary to Elope Atlas and are provided for your use solely in connection with your listing and your work with couples you meet through the platform.
• 02You will not reproduce, distribute, sell, sublicense, or share Platform Materials with any person or entity outside of your own organization or account, including but not limited to other vendors, competing platforms, or third-party services.
• 03You will not use Platform Materials to build, train, or inform a competing product or service.
• 04You will not share couple planning documents, match reports, or personal data with any third party without the express written consent of the couple.
• 05These confidentiality obligations survive the termination of this Agreement.

7. Code of Conduct

Elope Atlas is built on the principle that couples deserve honest, knowledgeable, and respectful service. As a listed vendor, you agree to:

• 01Treat all couples with professionalism and respect, regardless of race, ethnicity, religion, gender identity, sexual orientation, disability, or national origin.
• 02Not engage in deceptive pricing, bait-and-switch tactics, or misleading advertising.
• 03Not disparage Elope Atlas, other listed vendors, or couples on any public platform.
• 04Not solicit reviews, testimonials, or referrals through coercive or incentivized means.
• 05Report any technical issues, inaccuracies in your profile, or concerns about platform integrity promptly to [email protected].

8. Elope Atlas Right to Modify or Remove Listings

Elope Atlas reserves the right, at its sole discretion, to:

• 01Edit, update, or reformat your profile for consistency with platform standards.
• 02Temporarily suspend or permanently remove your listing for violation of this Agreement, receipt of substantiated complaints, or conduct that Elope Atlas determines to be harmful to couples or the platform community.
• 03Modify the platform, its features, or the presentation of vendor listings at any time.

We will make reasonable efforts to notify you before taking action against your listing, except where immediate action is required to protect couples or the integrity of the platform.

9. Intellectual Property

You retain all ownership of your portfolio images, written content, and other materials you submit to Elope Atlas. By submitting materials to the platform, you grant Elope Atlas a non-exclusive, royalty-free, worldwide license to display, reproduce, and distribute those materials solely for the purpose of operating and promoting your vendor listing on the Elope Atlas platform.

Elope Atlas retains all ownership of the platform, its design, its location database, its planning tools, and all other proprietary content. Nothing in this Agreement transfers any intellectual property rights from Elope Atlas to you.

10. Limitation of Liability

Elope Atlas is a discovery and connection platform. We are not responsible for the outcome of any transaction, booking, or relationship between you and a couple. To the maximum extent permitted by law, Elope Atlas's total liability to you for any claim arising under this Agreement shall not exceed the total fees paid by you to Elope Atlas in the twelve (12) months preceding the claim.

Elope Atlas makes no warranties, express or implied, regarding the number of inquiries, leads, or bookings your listing will generate.

11. Governing Law and Disputes

This Agreement is governed by the laws of the State of Washington, without regard to its conflict of law provisions. Any dispute arising under this Agreement shall be resolved by binding arbitration in King County, Washington, under the rules of the American Arbitration Association.

You waive any right to participate in a class action lawsuit or class-wide arbitration against Elope Atlas.

12. Modifications to This Agreement

Elope Atlas may update this Agreement from time to time. We will notify you by email at least 30 days before any material changes take effect. Your continued use of the platform after the effective date of any changes constitutes your acceptance of the updated Agreement. The current version of this Agreement is always available at elopeatlas.com/vendor-terms.

13. Entire Agreement

This Agreement constitutes the entire agreement between you and Elope Atlas with respect to your vendor listing and supersedes all prior agreements, representations, and understandings. If any provision of this Agreement is found to be unenforceable, the remaining provisions will remain in full force and effect.
